General terms and conditions WBMtools.nl as of 01-06-2012
1. Parties.
1.1 In these conditions the following definitions apply:
Seller: WBMtools.nl
Buyer: The natural or legal person who, as a buyer of goods and/or services, enters into one or more transactions with the seller.
2. Quotations, prices and purchase agreement.
2.1 Every quotation or quotation issued by the seller, oral or written, is entirely without obligation and valid until 4 weeks after the date of issue. The seller is only bound to the quotation or quotation when it is ratified by entering into a purchase agreement between seller and buyer.
2.2 A purchase agreement is created as soon as the buyer places an order in a seller's online store WBM-tools.nl or related websites . A purchase agreement also arises as soon as the buyer, after receiving a quotation or quotation, indicates, orally or in writing, that he wishes to purchase what is offered in whole or in part from the seller.
2.3 All statements and statements by the seller, oral or written, of dimensions, qualities and other technical data and qualities are deemed to represent global approximations; The seller is only bound by the statements and statements if and insofar as the seller has expressly indicated this in writing.
2.4 The seller reserves the right to change the sales prices offered, verbally or in writing, unless these have been confirmed in a purchase agreement.
2.5 The purchase agreement can be terminated by the seller, without any right to compensation, if it expressly appears that the seller has provided an incorrect quotation which could reasonably have been foreseen by the buyer.
2.6 All prices are in Euros, including VAT, unless expressly stated otherwise.

3. Delivery.
3.1 Specified delivery times will be adhered to by the seller as much as possible, but do not constitute a strict deadline. If the limit is exceeded, there is no right to terminate the agreement, nor is there a right to compensation.
3.2 The buyer is obliged to inspect the goods for damage upon delivery. If the buyer accepts the goods, they are deemed to have been received in an undamaged condition.
3.3 If the buyer deliberately places incorrect orders and/or prevents the delivery of goods, the seller reserves the right to recover the shipping costs incurred from the buyer.
4. Returns.
4.1 The buyer has the right to return goods within 10 days of receipt without giving any reason. At the buyer's option, the purchase price can be fully or partially refunded or replacement goods can be delivered.
4.2 Goods and their original packaging that are returned must be returned in undamaged and unused condition by and at the buyer's expense to the seller's address.
4.3 Goods specially ordered for the buyer can only be returned if the seller agrees.
4.4 The buyer undertakes to contact the seller for notification before returning. 

5. Warranty.
5.1 Warranty periods are as follows: Welding tools, welding and cutting equipment, 1 year warranty. Oerlikon / Cemont welding and cutting equipment has a two-year warranty. Freeweld welding machines 3 year warranty. Jasic welding and cutting equipment with a 2-year warranty, whereby you can extend the warranty to 5 years after registration. Welding helmets from the Free-weld brand 3 years, power tools 1 year, all other items 1 year.
5.2 The above warranty periods apply unless an item expressly states that the warranty period is shorter.
5.3 The warranty period commences on the invoice date, the invoice therefore constitutes the warranty certificate and must be presented by the buyer in the event of warranty claims.
5.4 The goods for which the warranty is claimed will be offered by and at the expense of the buyer at the seller's address or another address within the Netherlands.
5.5 If the warranty claim is justified, the costs of repairs as well as the costs of returning the goods to the buyer's address will be borne by the seller. If the warranty claim is unjustified, the costs will be borne by the buyer. If this is the case, the buyer will be consulted in advance about the expected costs and the repair will only be carried out after the buyer has approved. Defects caused by incorrect use, external disasters as well as regular wear and tear and wearing parts are excluded from the warranty.
5.6 If repair of the goods is not reasonably possible, the seller and buyer will consult about replacing the goods with goods of a comparable nature, size and condition. If replacement does not provide a solution, the seller can, in extreme cases, decide to partially refund the purchase price to the buyer, with a depreciation compared to the new value of 1/36 part per elapsed calendar month. The provisions of 5.6 only apply if a justified warranty claim is made within the warranty period.
5.7 The buyer undertakes to contact the seller and consult with the seller before submitting goods.
6. Non-attributable shortcoming. (force majeur)
6.1 The seller is entitled to terminate the purchase agreement in whole or in part, without any right to compensation, if the delivery of goods is made difficult or hindered as a result of force majeure.
6.2 Force majeure means:
Business disruption or business interruption of any nature whatsoever, insofar as this has arisen as a result of circumstances that cannot reasonably be attributed to the seller.
Long-term delayed delivery by suppliers to the seller.
6.3 If the purchase agreement is terminated by the seller, the seller is always entitled to a full refund of payments already made by the buyer.
7. Disputes and Applicable Law.
7.1 All agreements between seller and buyer are exclusively governed by Dutch law.
7.2 If the seller and buyer do not reach an agreement by mutual agreement, disputes will be settled by the competent court of the seller's place of business.
8. Applicability.
 
8.1 These general terms and conditions apply unless between the seller
and the buyer expressly agrees otherwise in writing.
